IKFACE LICENCE GENERAL SALES CONDITIONS
Versione / Versión / Version 2026-10-26.1 · In vigore dal / Vigente desde / Effective from 2026-10-26
1. Seller and scope. These conditions govern the direct sale of IKFace licences, subscriptions, modules and support services by INFOKRAUSE S.R.L. con Socio Unico, Via delle Speronelle 15, 09045 Quartu Sant'Elena (CA), Italy, tax code, VAT and Cagliari Companies Register no. 04126260928 («INFOKRAUSE»), to businesses and public bodies («Customer»). They do not apply to consumers or to sales by distributors or integrators, who sell in their own name and on their own account.
2. Contract documents. The contract consists of: (a) the Order; (b) these conditions; (c) the IKFace end-user licence agreement («EULA»); and, if contracted, (d) the IKFace Managed Service Terms and the data processing agreement. In case of conflict the Order prevails, then these conditions for commercial matters (price, payment, delivery, taxes), then the EULA for the use of the software. The Customer's general conditions do not apply even if referred to in its purchase order.
3. Offer and Order. INFOKRAUSE's offers are valid for 30 days unless stated otherwise. The contract is concluded when the Customer signs or electronically accepts the offer or Order form, or when INFOKRAUSE confirms the Customer's purchase order in writing. The Order states edition, Licence Units, model (perpetual or subscription), modules, term, support, price, currency and activation details.
4. Prices. Prices are those in the Order or, failing that, in INFOKRAUSE's current price list, in the stated currency (USD or EUR). They exclude VAT, other indirect taxes, duties, the Customer's bank charges and installation or training services not listed in the Order. INFOKRAUSE may update its price list; changes do not affect concluded Orders or the current subscription period.
5. Advance payment. Unless otherwise agreed in the Order, payment is in advance: INFOKRAUSE invoices when the Order is concluded and the Customer pays by bank transfer within 10 days. Subscriptions, annual modules and support services are invoiced in advance for each period. Where deferred payment is agreed, late payments bear the default interest set by Italian Legislative Decree no. 231 of 9 October 2002, without formal notice.
6. Taxes and withholding. VAT is charged according to law; for customers that are taxable persons in other EU Member States the reverse-charge mechanism applies and the Customer provides its VAT number. If the law of the Customer's country requires withholding tax on payments to INFOKRAUSE, the Customer grosses up the payment so that INFOKRAUSE receives the net price in the Order, unless a double taxation treaty reduces or excludes the withholding; in that case the parties cooperate to apply it and the Customer provides the certificate of the tax withheld.
7. Delivery and activation. Delivery is digital. Once payment is received, INFOKRAUSE makes the software and licences available in the Customer Portal at ikface.net and the Customer activates them by accepting the EULA. Delivery occurs when the licences are available in the Portal. The Customer warrants the accuracy of activation data and compliance with the technical requirements in the Documentation; INFOKRAUSE does not sell hardware.
8. Trial first and no refunds. The Customer may evaluate IKFace with the Portal demo before purchasing. Orders are firm: licences, subscriptions and support are not refunded after activation or, for support, after the period begins, except for the EULA warranty remedies (clause 13) or a breach by INFOKRAUSE. If INFOKRAUSE cannot deliver, it refunds the amount paid.
9. Subscriptions and support. Subscriptions and annual modules last for the period stated in the Order and do not renew automatically: INFOKRAUSE sends the renewal offer at least 30 days before expiry and renewal takes effect upon payment. Without renewal, the subscription licence expires at the end of the paid period. For perpetual licences, the annual support and updates service is optional and costs, unless stated otherwise, 15 % per year of the licence list price (EULA, clause 10).
10. Non-payment. If the Customer does not pay within 15 days of a written reminder, INFOKRAUSE may suspend delivery, activation of new licences, support and updates until payment, and may terminate the unpaid Order under Art. 1456 of the Italian Civil Code; upon termination the unpaid licences end. Licences already paid for are not deactivated.
11. Warranty and liability. Warranty, limitation of liability, indemnities, confidentiality and export are governed by the EULA (clauses 13–16 and 18), which also applies to the services sold under these conditions.
12. Law, courts and language. Italian law applies, excluding the Vienna Convention on the International Sale of Goods. The courts of Cagliari have exclusive jurisdiction over any dispute. The text is drafted in Italian, Spanish and English; the Italian text prevails.
13. Specific approval (Arts. 1341 and 1342 Italian Civil Code). The Customer declares that it has read and specifically approves clauses: 2 (precedence of documents and exclusion of the Customer's conditions), 6 (withholding gross-up), 8 (no refunds), 9 (subscription expiry), 10 (suspension and termination for non-payment) and 12 (exclusive jurisdiction of Cagliari).
